PAR204 Corporate Law

This course first surveys the formation and structure of sole proprietorships, partnerships, and limited partnerships. It then focuses substantial attention on the formation and structure of corporations, covering topics such as financial structure, meetings, reorganization, dissolution, liquidation, mergers and acquisitions, and employment and compensation. Students will draft partnership agreements, as well as the articles of incorporation and bylaws of a corporation.
